Hello I was wondering if anyone has a neat one page agreement that you are using with your Henpicked clients that you might be willing to share?  I have a client agreement document that I use for other things but it feels a bit complex for use in this context so looking to simplify. Hi Morna, I have a sheet I am happy to share but not sure how to attach so I'm going to copy and paste, if you want an emailed copy just let me know [email]silv@silvanagreenfield.com[/email] Henpicked Licensed Menopause Training Agreement The following constitute the terms and conditions to which applicants agree when booking any Henpicked Menopause in-person or virtual training (“Terms & Conditions”). If you are agreeing to these Terms & Conditions not as an individual but on behalf of your company or other legal entity, then “Customer” or “you” or “your” shall refer to such entity and its affiliates, and you represent that you have the authority to bind such entity and its affiliates to these Terms & Conditions and you are binding your company to these Terms & Conditions. CLIENT (NAME) (ADDRESS) LICENSED TRAINER (NAME) (TRAINER #) (ADDRESS) BOOKING Standard in-person or virtual training booked via your assigned licensed trainer from the Henpicked Menopasue Workplace Training Network.  The licensed trainer and client will mutually agree a time/date and delivery of training.  The licensed trainer will provide confirmation in writing and will provide an email template for the client to circulate internally to their team. PAYMENT The licensed trainer will charge the client for each session delivered at the rate of £xxx The licensed trainer will submit an invoice within 48hrs of training delivery Invoices submitted by the licensed trainer to the client are due within 14 days of receipt. REIMBURSEMENT OF EXPENSES The licensed trainer will be reimbursed for any travel expenses incurred for in-person training. CONFIDENTIALITY Confidential information refers to any data or information relating to the client, whether business or personal, which would reasonably be considered to be private or proprietary to the client and that is not generally known and where the release of that Confidential Information could reasonably be expected to cause harm to the client.  The licensed trainer agrees that they will not disclose, divulge, reveal, report or use, for any purpose, any Confidential Information which the licensed trainer has obtained, except as authorised by the client or as required by law. OWNERSHIP OF INTELLECTUAL PROPERTY All Training Material is owned by Henpicked and used under license to all licensed trainers.   All intellectual property rights in all Training Material available, including the design, graphics and text of all printed materials and the audio of all webinars and podcasts, are owned by Henpicked and used under license to all trainers.  No Training Material may be copied, reproduced, uploaded, posted, displayed or linked to in any way, in whole or in part, without the licensed trainer’s prior permission. INDEMNIFICATION Except to the extent paid in settlement from any applicable insurance policies, and to the extent permitted by applicable law, each Party agrees to indemnify and hold harmless the other Party, and its respective affiliates, officers, agents, employees, and permitted successors and assigns against any and all claims, losses, damages, liabilities, penalties, punitive damages, expenses, reasonable legal fees and costs of any kind or amount whatsoever, which result from or arise out of any act or omission of the indemnifying party, its respective affiliates, officers, agents, employees, and permitted successors and assigns that occurs in connection with this Agreement. This indemnification will survive the termination of this Agreement. CANCELLATION POLICY CLIENT Any cancellations made up to 48 hours before a scheduled appointment via email, text or phone call will be processed without a penalty, if a rescheduled date is agreed. Cancellations made 48 hours or less before an appointed session will be subject to a 50% charge of the training fee.
